These Terms and Conditions govern access to and use of the website dexilium.com and the real estate crowdlending platform operated by Dexilium S.A., Tax ID 30-71856432-9, with legal domicile at Av. Eduardo Madero 1020, Floor 12, C1106ACX, Buenos Aires, Argentina, registered with the General Inspection of Justice under N° 1847532 and with the National Securities Commission under N° 892.
1. Acceptance of terms
By accessing and using the Dexilium platform, the user declares that they have read, understood, and accepted these Terms in their entirety. If you do not agree with any of the terms set forth herein, we ask that you do not use the platform. Continued use of the website constitutes binding acceptance of these Terms and any future modifications.
2. Description of service
Dexilium operates a digital real estate crowdlending platform that allows users to collectively participate in financing construction and urban development projects in Argentina. The platform facilitates the connection between investors and real estate projects, providing information, tracking, and investment management tools. Dexilium does not guarantee specific investment returns or results.
3. Eligibility requirements
To use the platform and make investments, the user must: be at least 18 years old; have legal capacity to enter into binding contracts; be a tax resident of the Argentine Republic or comply with requirements applicable to foreign investors; provide truthful, complete, and up-to-date information during the registration process; comply with current regulations on the prevention of money laundering and terrorism financing.
4. Registration and user account
The user is responsible for maintaining the confidentiality of their access credentials and all activities carried out under their account. Dexilium reserves the right to suspend or cancel accounts that violate these Terms, present suspicious or irregular activity, or at the request of competent authorities. The user must immediately report any unauthorized use of their account.
5. Investments and risks
Investments made through the platform involve risks inherent to the real estate market and crowdlending activity. Dexilium does not guarantee profitability, return on investment, or the successful completion of projects. Each user is responsible for evaluating the risks associated with each project before investing. The information provided on the platform is for informational purposes only and does not constitute financial, tax, or legal advice.
6. Fees and costs
The costs and fees applicable to each investment will be detailed clearly before the confirmation of the transaction. Dexilium reserves the right to modify the fee structure, notifying users with a minimum of 30 days' notice. The conditions in effect at the time of confirming an investment will be maintained for that transaction.
7. Intellectual property
All content on the platform, including texts, graphics, logos, images, software, design, and structure, is the property of Dexilium S.A. or its licensors and is protected by the intellectual property laws of the Argentine Republic (Law No. 11,723) and applicable international treaties. Reproduction, distribution, modification, or unauthorized use of the content without the prior written consent of Dexilium is prohibited.
8. Limitation of liability
Dexilium shall not be liable for: indirect, incidental, or consequential damages arising from the use of the platform; temporary service interruptions due to maintenance or force majeure; losses arising from investment decisions made by users; actions or omissions of third parties participating in real estate projects. Dexilium's total liability is limited to the amount of fees actually charged to the user during the last 12 months.
9. Applicable law and jurisdiction
These Terms are governed by the laws of the Argentine Republic. For the resolution of any dispute arising from the use of the platform, the parties submit to the jurisdiction of the Ordinary Commercial Courts of the City of Buenos Aires, expressly waiving any other jurisdiction that may correspond.
10. Modifications
Dexilium reserves the right to modify these Terms at any time. Modifications will take effect upon publication on the platform. When changes are substantial, registered users will be notified at least 15 days in advance. Continued use of the platform after the publication of changes implies acceptance of the new Terms.
